Terms of Service
Draft for review, not in effect
This document has not been approved. Highlighted items in brackets must be decided by the business owner, and the whole text reviewed by a qualified lawyer, before it is published or relied on.
Effective date: [effective date]. These terms are between [legal entity name], [registered address] ("we"), and the business that creates a workspace ("you"), for the Quotlane service.
1. The service
Quotlane helps distributors answer requests for quotation received by email. It stores your catalog, customers and price lists; reads incoming requests; suggests matching products and prices from your own data; prepares quotes, replies and follow ups; and sends emails from a mailbox you connect, after an owner or manager approves them.
- Suggestions made by the rules reader or by an AI model can be wrong or incomplete. You are responsible for checking every quote and email before you approve it.
- The service does not invent prices, stock, discounts or delivery dates; it uses the data you provide. You are responsible for that data being accurate.
- You are responsible for the content of the emails you approve and for being allowed to contact the people you send them to.
2. Accounts and security
Each person has their own account. Owners and managers must use two factor authentication for approvals, settings and billing. Keep your credentials secret and tell us at [contact email] if you believe an account was compromised.
3. Your data
You keep all rights to the data you put into the service. We process it only to provide the service, as described in the Privacy Policy. An owner can export the workspace's data at any time and can ask for the workspace to be deleted; a deletion request is reviewed before it is carried out. [data processing terms for business customers, to be drafted by counsel]
4. Acceptable use
[acceptable use rules, to be decided] For example: no unsolicited bulk email, no unlawful content, and no attempt to access another workspace or to disrupt the service.
5. Subscriptions and payment
- Purchases are made through Paddle, which acts as reseller and merchant of record. Paddle's own buyer terms apply to the payment.
- A new workspace starts with a free trial without a payment method. The subscription is billed in advance for the billing period chosen (monthly, every 6 months or yearly), in US dollars, at the prices on the pricing page. Prices exclude tax; the applicable sales tax or VAT is added at checkout. Every billing period includes the same features.
- The subscription renews automatically at the end of each billing period, for the same billing period, and Paddle charges the payment method on file the price plus applicable tax, until you cancel. The Billing page shows the next renewal date.
- Changes of billing period take effect immediately and are prorated: the difference is charged straight away, or credited against future payments when the new period costs less.
- You can cancel at any time from the Billing page; renewal stops and the subscription ends at the end of the paid period. Cancelling does not by itself refund the current period. If a payment fails, the service keeps working during a grace period while Paddle retries; after it, and after a trial or subscription ends, the workspace becomes read only and no emails are sent from it.
- Refunds: see the Refund Policy.
- Price changes: [notice period and process for price changes]
6. Third party services
Some features rely on other providers, for example Google for sending email from your mailbox and Paddle for payments. Their availability and terms are outside our control.
7. Availability and changes
[service availability commitment, maintenance and notice of material changes]
8. Liability
[warranty disclaimer and limitation of liability, to be drafted by counsel]
9. Suspension and termination
[when either party may suspend or terminate, and what happens to data]
10. Governing law
[governing law and courts]
11. Contact
[contact email and postal address]
